1 Acceptance of Terms

Welcome to PSA Engineering Solutions ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website www.psaes.com and all related services, including our manufacturing and die casting services.

By accessing our website, requesting a quote, placing an order, or engaging our services in any way, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

2 Our Services

PSA Engineering Solutions provides aluminum die casting manufacturing services, including but not limited to:

• Pressure die casting of aluminum components
• CNC and VMC machining services
• Tooling and die design and manufacturing
• Surface finishing including powder coating
• Quality inspection and testing
• Custom manufacturing solutions

The specific scope of services for each project will be defined in individual quotations and purchase orders agreed upon between the parties.

3 Quotes & Orders

3.1 Quotations

All quotations provided by PSA Engineering are:

• Valid for 30 days from the date of issue unless otherwise specified
• Based on the specifications and quantities provided by the customer
• Subject to change if specifications or quantities are modified
• Exclusive of applicable taxes unless explicitly stated

3.2 Order Acceptance

An order is considered accepted only upon written confirmation from PSA Engineering. We reserve the right to accept or decline any order at our discretion.

3.3 Order Modifications

Any changes to an accepted order must be requested in writing and are subject to:

• Approval by PSA Engineering
• Revised pricing and delivery schedules
• Additional charges for work already completed

3.4 Order Cancellation

Orders may only be cancelled with written consent from PSA Engineering. Cancellation may be subject to charges for work performed, materials procured, and tooling costs incurred.

4 Payment Terms

4.1 Tooling Payments

For new die/tooling development:

• 50% advance payment upon order confirmation
• 50% balance upon tooling approval and sample acceptance

4.2 Production Payments

For production orders, payment terms are typically:

• As per mutually agreed terms in the purchase order
• Standard terms: Net 30 days from invoice date for established accounts
• Advance payment may be required for new customers or large orders

4.3 Late Payments

Late payments may attract interest at 18% per annum or the maximum rate permitted by law. We reserve the right to suspend services or withhold deliveries for overdue accounts.

5 Delivery

5.1 Delivery Terms

Unless otherwise agreed in writing:

• Delivery is Ex-Works (EXW) from our facility in Gurugram, Haryana
• Risk of loss transfers to the customer upon dispatch
• Shipping and insurance costs are the customer's responsibility

5.2 Delivery Schedule

Delivery dates are estimates based on information available at the time of quotation. While we strive to meet all delivery commitments, we shall not be liable for delays caused by:

• Changes in customer specifications or requirements
• Delayed approvals or responses from the customer
• Force majeure events
• Supply chain disruptions beyond our control

5.3 Inspection Upon Delivery

Customers must inspect goods within 7 days of receipt and report any damage or discrepancies in writing. Claims made after this period may not be accepted.

6 Quality & Warranty

6.1 Quality Standards

PSA Engineering is committed to delivering products that meet agreed-upon specifications. Our quality management system is certified to ISO 9001:2015.

6.2 Warranty

We warrant that our products will:

• Conform to agreed specifications and drawings
• Be free from defects in material and workmanship
• Meet the dimensional tolerances specified

6.3 Warranty Limitations

This warranty does not cover:

• Defects caused by customer-supplied materials or designs
• Damage resulting from improper handling, storage, or use
• Normal wear and tear
• Modifications made by third parties
• Components used beyond their intended application

6.4 Warranty Claims

Warranty claims must be submitted in writing within 30 days of discovering the defect, along with supporting documentation. Our sole obligation under warranty is to repair or replace defective products at our discretion.

7 Intellectual Property

7.1 Customer IP

Designs, drawings, and specifications provided by customers remain their intellectual property. We will maintain confidentiality and use such information solely for fulfilling orders.

7.2 PSA Engineering IP

All proprietary processes, manufacturing methods, and techniques developed by PSA Engineering remain our exclusive property.

7.3 Tooling Ownership

Unless otherwise agreed in writing:

• Customer-paid tooling remains customer property
• Tooling will be stored at our facility during active production
• Tooling may be released upon request after all outstanding payments are cleared
• We are not liable for tooling deterioration due to normal wear

7.4 Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business and not disclose it to third parties without written consent.

8 Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim shall not exceed the value of the specific order giving rise to the claim
• We shall not be liable for indirect, incidental, consequential, or punitive damages
• We shall not be liable for loss of profits, revenue, data, or business opportunities
• We are not responsible for delays or failures caused by circumstances beyond our reasonable control

9 Website Use

9.1 Permitted Use

You may use our website for lawful purposes to:

• Learn about our products and services
• Request quotations and information
• Contact us for business inquiries
• Apply for employment opportunities

9.2 Prohibited Activities

You may not:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems

10 Termination

• All outstanding payments become immediately due
• Customer-owned tooling will be released upon payment clearance
• Confidentiality obligations survive termination

11 Governing Law & Disputes

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

11.2 Dispute Resolution

In the event of any dispute:

1. The parties shall first attempt to resolve the dispute through good faith negotiations
2. If unresolved within 30 days, either party may initiate mediation
3. If mediation fails, disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996
4. The seat of arbitration shall be Gurugram, Haryana, India

11.3 Jurisdiction

The courts of Gurugram, Haryana, India shall have exclusive jurisdiction over any matters not subject to arbitration.
